These Terms and Conditions (“Terms”) govern your use of our services. By engaging with Codex Tech Pty Ltd (“Codex Tech”, “we”, “us”, or “our”), you agree to be bound by these Terms. Each service listed below includes specific terms relevant to that offering.
1. General Provisions
- All services are subject to availability and eligibility.
- Quotes are valid for 7 days unless otherwise stated.
- Payments are due in advance unless prior arrangements are made.
- Clients agree to provide accurate and complete information at all times.
- Support is available during office hours (Mon–Fri, 9am–5pm).
- Codex Tech reserves the right to suspend services for violations or unpaid invoices.
2. VoIP Services & Hosted PBX
- Services include VoIP extensions, SIP trunk provisioning, number allocation, and Hosted PBX management.
- Minimum term: 12 months. Early termination incurs a penalty fee equal to 3 months’ service.
- Service plans are based on fair usage. Abuse (e.g., auto-dialers, spam) will result in suspension.
- Number portability is supported upon request and subject to ICASA procedures.
- Clients are responsible for keeping their VoIP credentials confidential.
- Voicemail, IVR, and call routing configurations are supported within reason. Complex setups may incur additional charges.
- Service may be affected by third-party infrastructure (e.g., internet speed, power outages, upstream trunks).
- Emergency calls (e.g., 112) are supported but not guaranteed under all conditions.
3. Web Hosting & Domain Services
- Hosting plans include shared hosting with bandwidth and disk space limits as per the selected package.
- Accounts using excessive resources may be throttled or upgraded.
- Clients may not host illegal content, spam, phishing pages, or malware.
- Domain registration is subject to availability and managed via third-party registrars.
- Renewals are billed annually. Failure to pay on time may result in domain expiration or hosting suspension.
- Codex Tech does not guarantee uptime but strives to meet a 99.9% SLA.
- Backups are provided weekly; however, clients are encouraged to maintain their own backups.
4. Email Hosting Services
- Hosted email includes POP3/IMAP/SMTP services, spam filtering, and webmail access.
- Clients are prohibited from sending bulk unsolicited emails (“spam”).
- Inbox limits, attachment sizes, and mailbox quotas are defined per package.
- Abuse of services may result in blacklisting, suspension, or termination without notice.
- Support is provided for email setup on major platforms (Outlook, Gmail, mobile mail apps).
5. Website Design & Development
- Projects are initiated after a 50% upfront deposit. The balance is due upon completion.
- Standard turnaround time is 2–4 weeks depending on complexity and client feedback.
- Clients must provide all content (logos, text, images) unless a content package is selected.
- Codex Tech provides up to 3 rounds of revisions. Additional changes will be billed per hour.
- Once approved and launched, any post-launch updates or support require a separate maintenance agreement.
- All designs remain the property of Codex Tech until full payment is received.
6. IT Support Services
- IT support is available by appointment or contract. Emergency callouts may incur additional fees.
- Remote support is subject to internet access and cooperation from the client.
- Codex Tech does not guarantee issue resolution if third-party systems are outdated or unsupported.
- Hardware provided remains under warranty by the manufacturer unless otherwise agreed.
7. Payment Terms
- Invoices are payable via EFT or debit order. Payment references must include invoice number.
- Late payments incur a 10% penalty after 7 days. Services may be paused until settlement.
- Recurring services (e.g., hosting, VoIP) are auto-renewed unless cancelled in writing at least 30 days in advance.
8. Limitation of Liability
Codex Tech will not be held liable for any indirect, incidental, or consequential damages including but not limited to loss of revenue, data, or reputation. Our liability is limited to the total amount paid by the client for the service in question in the preceding 3 months.
9. Force Majeure
We are not responsible for delays or failures caused by events outside our control, including but not limited to power failures, internet outages, acts of God, or changes in regulation.
10. Amendments
Codex Tech reserves the right to amend these Terms at any time. Clients will be notified of significant changes via email or notice on our website. Continued use of our services implies acceptance of the updated Terms.
11. Governing Law
These Terms are governed by the laws of the Republic of South Africa. Any disputes shall be subject to the jurisdiction of the South African courts.
